TRADELINK — TRADESPERSON TERMS & CONDITIONS

These Terms & Conditions ("Agreement") are a legally binding agreement between you ("Tradesperson", "Professional") and TradeLink Ireland Limited ("TradeLink", "we", "us"). By registering as a tradesperson, you confirm you are at least 18 years old, legally permitted to work in Ireland, and agree to be bound by this Agreement in full.


1. About TradeLink

1.1 TradeLink operates a technology platform that facilitates introductions between customers and independent tradespeople in Ireland.

1.2 You are an independent contractor and independent business owner. You are not an employee, partner, agent, representative, or franchisee of TradeLink. TradeLink does not direct, supervise, or control how you perform your services.

1.3 Any contract for services is formed directly between you and the customer. TradeLink is not a party to that contract.

2. Your Registration & Profile

2.1 You must provide accurate, complete, and current information during registration, including your name, business details, trade category, and any required certifications.

2.2 For regulated trades (electrical, gas), you must hold and maintain valid certifications (RECI/Safe Electric for electrical; RGII for gas) and provide proof during onboarding. TradeLink reserves the right to gate or remove access where certifications cannot be verified or lapse.

2.3 You may only register one account per business. Duplicate accounts are prohibited and may be removed.

2.4 You are responsible for safeguarding your account credentials. Any activity under your account is your responsibility.

3. TradeLink's Facilitation Role

3.1 TradeLink introduces you to customers seeking your services. Our role ends at the point of introduction. The contract for services, its terms, pricing, and delivery are entirely between you and the customer.

3.2 TradeLink does not guarantee job volume, customer conversion, or earnings from use of the platform.

4. Your Obligations as a Tradesperson

By registering on TradeLink, you confirm and agree to:

4.1 Hold all licences, permits, insurance, and registrations required by Irish law to operate your business and provide your services.

4.2 Carry adequate public liability and professional indemnity insurance at all times while using the platform.

4.3 Perform all services with due care, skill, and diligence, in compliance with all applicable Irish and EU laws, health and safety regulations, and industry standards.

4.4 Only offer services for which you have the necessary skills, qualifications, and legal authorisation.

4.5 Communicate clearly and promptly with customers through the in-app messaging system.

4.6 Honor commitments made to customers. Repeated cancellations or failure to attend booked jobs may result in account suspension.

4.7 Conduct yourself professionally and respectfully toward customers and TradeLink staff at all times.

4.8 Ensure that customers are aware that services are provided by you, not by TradeLink.

5. Prohibited Conduct

You must not:

5.1 Solicit or accept payment from customers outside the TradeLink platform, having made initial contact through it.

5.2 Underquote on-platform with the intention of collecting higher amounts off-platform.

5.3 Upload false, misleading, or unlawful content to your profile.

5.4 Attempt to re-register following a suspension or permanent ban.

5.5 Share, sell, or transfer your account to any third party.

6. Payments & Commission

6.1 Free Tier: TradeLink charges a 10% commission on the total value of each completed job transacted through the platform.

6.2 Solo Tier (€49/month): 0% commission on all completed jobs. See Solo Subscription Terms for full details.

6.3 All payments from customers are held in escrow via Stripe and released to your account upon job completion confirmation, less any applicable commission.

6.4 You are solely responsible for all taxes on income earned through the platform, including VAT obligations where applicable. TradeLink has no liability for your tax affairs.

7. Disputes

7.1 If a dispute arises with a customer, you should first attempt to resolve it through in-app messaging.

7.2 TradeLink may, at its sole discretion, assist in dispute resolution and make decisions regarding escrow release. Any such decision is final.

7.3 If a customer raises a claim against you relating to service quality or breach of contract, that claim is against you directly as the service provider. TradeLink is not liable for your performance.

8. Reviews

8.1 Customers may leave reviews of your services following job completion. TradeLink will display these publicly on your profile.

8.2 You may not submit reviews of your own services or report third-party reviews in bad faith.

8.3 TradeLink reserves the right to remove reviews that violate platform guidelines but is not obligated to do so.

9. Indemnification

You agree to fully indemnify, defend, and hold harmless TradeLink, its directors, officers, employees, and agents from any claims, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your provision of services to customers

  • Your breach of this Agreement

  • Any injury, damage, or loss caused in connection with your work

  • Any claim by a customer arising from a job you performed

  • Any infringement of third-party intellectual property rights through content you upload

10. Limitation of Liability

10.1 To the fullest extent permitted by Irish law, TradeLink shall not be liable for any indirect, consequential, special, incidental, or punitive damages arising from your use of the platform.

10.2 TradeLink's aggregate liability to you shall not exceed the total commission or subscription fees paid by you to TradeLink in the 12 months preceding the event giving rise to the claim.

10.3 TradeLink is not liable for loss of earnings, loss of jobs, loss of reputation, or loss of business opportunity arising from platform downtime, account suspension, or ranking changes.

10.4 Nothing in this Agreement limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

11. Account Suspension & Termination

11.1 TradeLink may suspend or permanently remove your account, with or without notice, where you have:

  • Breached any term of this Agreement

  • Provided false or misleading information

  • Received a disproportionate number of complaints or poor reviews

  • Conducted or attempted off-platform transactions

  • Uploaded illegal or unlicensed content

  • Been subject to regulatory investigation

11.2 Where reasonably practicable, we will provide a statement of reasons before taking action.

11.3 Termination of your account does not affect any active service contract you have with a customer.

11.4 No refund of commission or subscription fees will be issued upon termination for breach.

12. Data Protection

12.1 Customer personal data shared with you through the platform must be used solely for the purpose of fulfilling the relevant job. You must not use it for marketing or any other purpose without the customer's explicit consent.

12.2 You must comply with GDPR and the Data Protection Acts 1988–2018 in your handling of all customer data.

12.3 Any data breach involving customer data must be reported to TradeLink within 48 hours of discovery.

13. Complaints

If you have a complaint about our service, contact us at support@tradelink-app.com. We will acknowledge within 2 business days and aim to resolve within 7 business days.

14. General

14.1 Independent Contractor — Nothing in this Agreement creates an employment, agency, or partnership relationship between you and TradeLink.

14.2 Severability — If any clause is found invalid or unenforceable, the remaining terms continue in full force.

14.3 Waiver — Failure to enforce any provision does not waive our right to enforce it later.

14.4 Changes — We may update these Terms at any time with 30 days' notice. Continued use constitutes acceptance.

14.5 Assignment — TradeLink may transfer its rights under this Agreement to another organisation. You may not transfer your rights without our written consent.

14.6 Governing Law — This Agreement is governed by Irish law. All disputes are subject to the exclusive jurisdiction of the Irish courts.

5. Prohibited Conduct

You must not:

5.1 Solicit or accept payment from customers outside the TradeLink platform, having made initial contact through it.

5.2 Underquote on-platform with the intention of collecting higher amounts off-platform.

5.3 Upload false, misleading, or unlawful content to your profile.

5.4 Attempt to re-register following a suspension or permanent ban.

5.5 Share, sell, or transfer your account to any third party.

6. Payments & Commission

6.1 Free Tier: TradeLink charges a 10% commission on the total value of each completed job transacted through the platform.

6.2 Solo Tier (€49/month): 0% commission on all completed jobs. See Solo Subscription Terms for full details.

8.2 You may not submit reviews of your own services or report third-party reviews in bad faith.

8.3 TradeLink reserves the right to remove reviews that violate platform guidelines but is not obligated to do so.

9. Indemnification

You agree to fully indemnify, defend, and hold harmless TradeLink, its directors, officers, employees, and agents from any claims, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your provision of services to customers

  • Your breach of this Agreement

  • Any injury, damage, or loss caused in connection with your work

  • Any claim by a customer arising from a job you performed

  • Any infringement of third-party intellectual property rights through content you upload

10. Limitation of Liability

10.1 To the fullest extent permitted by Irish law, TradeLink shall not be liable for any indirect, consequential, special, incidental, or punitive damages arising from your use of the platform.

10.3 TradeLink is not liable for loss of earnings, loss of jobs, loss of reputation, or loss of business opportunity arising from platform downtime, account suspension, or ranking changes.

11. Account Suspension & Termination

11.1 TradeLink may suspend or permanently remove your account, with or without notice, where you have:

  • Breached any term of this Agreement

  • Provided false or misleading information

  • Received a disproportionate number of complaints or poor reviews

  • Conducted or attempted off-platform transactions

  • Uploaded illegal or unlicensed content

  • Been subject to regulatory investigation

11.2 Where reasonably practicable, we will provide a statement of reasons before taking action.

11.3 Termination of your account does not affect any active service contract you have with a customer.

11.4 No refund of commission or subscription fees will be issued upon termination for breach.

12. Data Protection
